1. Acceptance of Terms

By accessing or using the website located at palace.so (the "Site") and the logistics automation services provided by Lucid Spring Inc. ("Palace", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company (such as your employer), you represent that you have the authority to bind that entity.

2. Description of Service and "Beta" Status

Palace provides an AI-powered logistics automation platform (the "Service"). You acknowledge that the Service may use artificial intelligence and machine learning to generate outputs.

Beta Notice: Portions of the Service may be designated as "Beta." You understand that Beta versions may be unstable, may contain bugs, and may not be suitable for production use without human supervision.

3. User Accounts

To access the Service, you must register for an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Customer Data and AI Training

  • Ownership: You retain all rights, title, and interest in the data, files, and logistics information you upload to the Service ("Customer Data").
  • License to Palace: You grant Palace a non-exclusive, worldwide, royalty-free license to use, copy, and process Customer Data solely to provide and improve the Service.
  • Aggregated Data: You agree that Palace may collect, use, and disclose quantitative data derived from the use of the Service for industry analysis, benchmarking, and other business purposes, provided that such data is in aggregate form and does not identify you or your customers.

5. AI Disclaimers and Human Review

Important: The Service utilizes generative AI technology. You acknowledge that AI outputs can be inaccurate, incomplete, or misleading. You agree that you are responsible for evaluating and verifying the accuracy of any output generated by the Service before relying on it for logistics, financial, or legal decisions. Palace is not responsible for any errors in routing, documentation, or calculations resulting from reliance on AI outputs.

6. Prohibited Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of export control laws.
  • Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service.
  • Use the Service to build a competitive product or service ("benchmarking").
  • Upload any data containing sensitive personal information (such as health data) or data you do not have the rights to share.

7. Intellectual Property

The Service (excluding Customer Data), including its underlying code, AI models, algorithms, and design, is the exclusive property of Lucid Spring Inc. and its licensors.

8. Payment and Subscription

If you subscribe to a paid tier of the Service, you agree to pay the fees quoted to you at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing upon 30 days' notice.

9. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

10. Limitation of Liability

To the maximum extent permitted by law, Lucid Spring Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. In no event shall our aggregate liability for all claims relate to the Service exceed the greater of one hundred U.S. dollars ($100) or the amounts paid by you to Palace in the twelve (12) months prior to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lucid Spring Inc. from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including without limitation any intellectual property or privacy right.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access the Service after those revisions become effective, you agree to be bound by the revised terms.
